Terms & Conditions

Last updated 27 June 2026. These terms apply to everyone who uses this site or our products.

Please read these Terms & Conditions ("Terms") carefully. They are a legal agreement between you and Tuff Nerds and they govern your access to and use of tuffnerds.net (the "Site") and everything we sell or make available through it, including the LEADR plugin, sound libraries, presets, and other downloads (together, the "Products").

1.Acceptance of these terms

By accessing the Site, creating an account, or buying, downloading, installing, or using any of our Products, you confirm that you have read, understood, and agree to be bound by these Terms and by any policies referenced in them (including our Privacy Policy and Refund Policy). If you do not agree, do not use the Site or the Products.

2.Who we are

The Site and Products are provided by Philipp Thioune, trading as Tuff Nerds, an independent creator based in Japan ("Tuff Nerds", "we", "us", "our"). You can reach us at support@tuffnerds.net. Purchases are sold through our merchant of record, Moonbase (see section 10). Further operator details are in our Legal Notice.

3.Eligibility

To buy or use the Products you must be old enough to enter into a binding contract in your country of residence (generally the age of majority), or have the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. By using the Products you represent that you meet these requirements and that the information you give us is accurate.

4.What we provide

We make and sell digital audio software and content, including the LEADR plugin (VST3 and, on macOS, Audio Unit), bundled sound libraries, one-shots, presets, and related digital downloads. The Products are licensed to you, not sold. We may add, change, or discontinue Products, features, or content at any time.

5.Your licence

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable licence to:

Except where this is permitted by law that cannot be excluded, you must not, and must not allow anyone else to:

7.Sounds & presets

You may use the samples, one-shots, instruments, and presets included with the Products as part of your own musical productions, royalty-free. You may not redistribute, sell, or share the included sounds or presets on their own, or repackage them (in whole or in part) as a sample pack, preset pack, sound library, or any product whose primary value is the sounds themselves.

8.Intellectual property

The Products, the Site, and all software, audio, artwork, text, designs, logos, and trademarks (including "Tuff Nerds" and "LEADR") are owned by us or our licensors and are protected by intellectual-property laws. These Terms grant you a licence only; they do not transfer any ownership to you. All rights not expressly granted are reserved.

9.Licences, keys & activation

Activation and licensing may be handled by a third-party provider (currently Moonbase). First-time activation needs an internet connection, and the Products may stay silent or limited until activated. You are responsible for keeping your licence keys and account details secure and for any activity under your account. We may use reasonable technical measures to verify and enforce licences.

10.Orders, pricing & payment

Purchases are sold and processed by our merchant of record, Moonbase (moonbase.sh), acting as an intermediary reseller. When you buy a Product, your payment and the purchase transaction are handled by Moonbase, Moonbase is the seller of record for that transaction, and Moonbase is responsible for billing, invoicing, and collecting and remitting any applicable taxes. Prices are shown at checkout and may change at any time before you buy; applicable taxes may be added. We do not receive or store your full payment-card details. Your order is accepted when the Product or licence is made available to you. We or Moonbase may refuse or cancel an order (for example, for suspected fraud, a pricing error, or a breach of these Terms). Tuff Nerds licenses the Product to you under these Terms; Moonbase's own terms also apply to the purchase transaction.

11.Delivery

The Products are delivered electronically as instant downloads. By purchasing, you ask us to make the Product available to you immediately and you acknowledge that delivery and your access begin right away.

12.Refunds & cancellation

Because the Products are digital and delivered instantly, refunds are limited. As purchases are made through our merchant of record, Moonbase, refund requests may be handled by or through Moonbase. Our Refund Policy explains when we offer refunds and how to request one. Where you have a statutory right to cancel a purchase of digital content (for example, a right of withdrawal under consumer law), you agree that supply begins immediately on purchase and download, and you acknowledge that this may end that cancellation right once the download has started, to the extent permitted by the law that applies to you. Nothing here removes rights that cannot be waived under mandatory consumer law.

13.Updates, support & changes

We may release updates, fixes, or new versions, and we may provide support, but we are not obliged to do so for any particular period unless we say otherwise in writing. We may modify, suspend, or discontinue any Product or feature. We aim to keep the Products working across common, current setups, but we cannot guarantee compatibility with every system, host, or future operating-system version.

14.Acceptable use of the Site

You agree not to misuse the Site. In particular, you must not attempt to gain unauthorised access to it, introduce malware, scrape or harvest data at scale, overload or disrupt the Site, or use it for anything unlawful or infringing.

15.Third-party services & links

The Site and Products rely on third-party services (for example, payment processors, the Moonbase licensing and storefront system, and embedded media such as YouTube). Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for third-party services or for any external sites we link to.

16.Your responsibilities

You are responsible for having a compatible system and a supported host application, for checking the stated requirements before you buy, for keeping your own backups of your work and projects, and for the way you use the Products.

17.Disclaimer of warranties

To the fullest extent permitted by law, the Site and Products are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. We do not warrant that the Products will be uninterrupted, error-free, secure, or free of harmful components, or that they will meet your requirements. You use the Products at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, and this section does not affect your mandatory legal rights.

18.Limitation of liability

To the fullest extent permitted by law, Tuff Nerds and its owners, team, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or content, however arising, even if advised of the possibility.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Products, the Site, or these Terms is limited to the greater of (a) the total amount paid for the Product giving rise to the claim in the 12 months before the claim, or (b) USD 50.

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited under the law that applies to you.

19.Indemnification

You agree to indemnify and hold harmless Tuff Nerds from and against any claims, damages, losses, and reasonable costs (including legal fees) arising out of your breach of these Terms, your misuse of the Products or Site, or your violation of any law or third-party right. This does not apply to the extent a claim results from our own breach or wrongdoing, or where it would conflict with the mandatory law that applies to you as a consumer.

20.Privacy

How we handle personal data is described in our Privacy Policy, which forms part of these Terms.

21.Suspension & termination

We may suspend or terminate your licence or access if you materially breach these Terms. On termination, your licence ends and you must stop using and delete your copies of the affected Products. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply after termination.

22.Events outside our control

We are not responsible for any failure or delay caused by events beyond our reasonable control, including outages, third-party service failures, acts of nature, or other force-majeure events.

23.Changes to these terms

We may update these Terms from time to time. The current version is always posted here with its "last updated" date, and changes take effect when posted. For significant changes we will try to give reasonable notice (for example, a notice on the Site). Your continued use of the Site or Products after changes take effect means you accept the updated Terms.

24.Governing law & disputes

These Terms and any dispute arising from them are governed by the laws of Japan, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The competent courts of Japan will have jurisdiction, except that this does not deprive you, as a consumer, of the protection of mandatory rules or the right to bring proceedings in the courts of the country where you live, where the applicable law gives you that right. Before starting any formal dispute, please contact us at support@tuffnerds.net so we can try to resolve it.

25.Your consumer rights

If you are a consumer, you have rights under the mandatory consumer-protection law of the place where you live, and nothing in these Terms limits or replaces those rights. Where any provision of these Terms conflicts with a mandatory consumer right, that mandatory right prevails.
